Terms of Service

1. Definitions

• “AI-gency,” “we,” “us,” or “our” means the operator, owner, and licensor of the underlying software platform and associated intellectual property.
• “YourWorkspace.Site” or “the Platform” means the YourWorkspace.Site service and, where the context requires, any authorized AI-gency-powered or White Label implementation.
• “Admin” means an account holder, reseller, or White Label operator who purchases or controls a Platform license, subscription, or deployment.
• “End-User” means an individual or customer who accesses the Platform through an Admin's account or White Label implementation.
• “White Label” means an authorized implementation of the Platform that uses another business name, logo, or domain while continuing to operate under an AI-gency license.

2. Ownership

AI-gency and its licensors retain all right, title, and interest in the Platform, including its software, applications, source code, user interface, architecture, workflows, graphics, databases, branding, documentation, and associated intellectual property. Third-party materials remain the property of their respective owners.

No ownership rights are transferred through any subscription, license, White Label arrangement, Reseller arrangement, hosting fee, or other payment.

3. License to Use

Subscribers, Admins, White Label operators, and authorized Resellers are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform while their accounts remain active and in good standing.

This license grants permission to use the Platform only. It does not grant ownership of the Platform, its underlying software, or any AI-gency intellectual property.

4. Restrictions on Distribution and Use

The Platform, any AI-gency-powered platform, and every White Label implementation are licensed products. Except through an authorized AI-gency licensing program or with prior written permission from AI-gency, users may not:

• Distribute, share, or provide the Platform or a White Label implementation free of charge.
• Sell, sublicense, lease, rent, assign, or transfer the Platform or any license rights.
• Bundle, incorporate, embed, or offer the Platform as part of another platform, website, membership, software product, or service.
• Copy, clone, reverse engineer, modify for redistribution, or use the Platform to create competing derivative works, except to the limited extent such a restriction is prohibited by applicable law.
• Represent the Platform, an AI-gency-powered implementation, or its underlying intellectual property as their own.
• Circumvent or attempt to circumvent licensing, subscription requirements, usage limitations, subscriber-capacity limits, pricing, security controls, or the AI-gency business model.

Purchasing a Subscriber, Admin, White Label, or Reseller account grants only the rights expressly stated in the applicable license. It does not grant a right to redistribute the Platform, provide it free of charge, incorporate it into another service, or transfer ownership or intellectual property rights.

5. White Label and Reseller Accounts

White Label and Reseller accounts are licensing arrangements only. Branding an implementation under another business name, logo, or domain does not create a separate software product or transfer ownership of the underlying Platform.

• Every White Label implementation remains an AI-gency-powered platform and remains subject to these Terms.
• A White Label implementation may not be distributed free of charge without prior written consent from AI-gency.
• A White Label implementation may not be incorporated into another platform or used to circumvent AI-gency licensing, subscriptions, or pricing.
• Resale rights are limited to the rights expressly granted through an authorized AI-gency Reseller or White Label program.

White Label Hosting and Deployment Fees

White Label implementations may be deployed using one of the supported hosting methods below. The applicable recurring hosting fee is added to the originating Admin's AI-gency billing account. The Admin is responsible for establishing and collecting charges from their own clients.

• Subdomain (non-cPanel) White Label: $24.50 per month for each active White Label instance.
• Full cPanel Hosted White Label: $49.00 per month for each active White Label instance.
• White Label Admins may establish their own retail pricing for End-Users.
• Hosting fees are automatically applied to the Admin's AI-gency billing account for every active White Label deployment.
• White Label hosting fees are non-refundable after provisioning has begun, except where a refund is required by applicable law.
• Deployments remain active and billable until formally deactivated or removed by the Admin.
• Hosting fees may be adjusted as pricing structures change, with prior notice to affected Admins.

White Label Support Responsibilities

AI-gency provides platform-level support and does not serve as the primary support provider for an Admin's End-Users or clients.

• Platform Support: AI-gency support is limited to core Platform functionality, system bugs, and issues directly attributable to the underlying software.
• Admin Support: End-User support, client management, onboarding, training, operational questions, and customer communication are the responsibility of the originating Admin.
• Subdomain and non-cPanel deployments: AI-gency does not provide direct support to End-Users operating under these White Label environments.
• AI-gency does not provide White Label-branded support, direct client assistance, or End-User troubleshooting unless separately agreed in writing.
• End-Users do not have a direct contractual support relationship with AI-gency and must contact their Admin or the support channel provided by that Admin.

6. Subscriber Capacity and Platform Expansion

The base Platform subscription includes support for up to one hundred (100) active subscribers. Additional capacity requires the purchase and continued maintenance of the applicable Expansion Subscription or subscriptions.

• Each Expansion Subscription authorizes an additional block of one hundred (100) active subscribers.
• Expansion Subscriptions are recurring monthly subscriptions and are cumulative. Each required subscriber block must remain active.
• Expansion Subscriptions are separate from the primary Platform subscription and are billed independently.
• Continued use of capacity beyond an account's included allowance constitutes acceptance of the applicable Expansion Subscription requirements and pricing.
• Attempts to circumvent subscriber-capacity requirements, Expansion Subscriptions, or licensing limits violate these Terms.
• Capacity pricing may be adjusted with prior notice to affected Admins.

Current Expansion Subscription Pricing

Each expansion block listed below is a separate recurring monthly subscription and does not include the fees charged for previous blocks.

Example: An account with 450 active subscribers must maintain Expansion Blocks 1, 2, 3, and 4 in addition to the primary Platform subscription.

Account holders are solely responsible for establishing their own pricing, membership fees, and profitability. Any illustration of effective per-subscriber cost is informational only and does not guarantee operating costs or profit.

If an account's active subscriber count falls below the capacity authorized by one or more Expansion Subscriptions, the account holder may request cancellation of the no-longer-required subscription or subscriptions through AI-gency Support. Cancellations are subject to verification of the active subscriber count and take effect at the end of the current billing period.

7. AI Services and Generated Content

Certain Platform features use third-party artificial intelligence providers. Information, prompts, files, or instructions submitted through those features may be transmitted to the applicable provider to perform the requested service and may also be subject to that provider's terms and privacy practices.

AI-generated content may be incomplete, inaccurate, offensive, outdated, or unsuitable for a particular purpose. Users are solely responsible for reviewing, verifying, editing, and determining whether generated content may lawfully and appropriately be used, published, or distributed. The Platform does not provide legal, medical, financial, or other professional advice.

8. Bandwidth Usage and Fair Use

AI-gency may monitor, regulate, limit, suspend, or restrict bandwidth and other Platform resources when reasonably necessary to protect service integrity, stability, security, performance, or economic viability.

• The Platform is an AI-powered software service and is not a general-purpose file-hosting, download-repository, or media-streaming service.
• Users may not operate the Platform or a White Label implementation in a way that creates excessive, abusive, or unreasonable bandwidth or resource consumption.
• Large-scale media libraries, streaming services, download repositories, automated abuse, or other bandwidth-intensive activities may be limited or prohibited.
• AI-gency may require an additional subscription, impose reasonable usage limits, or suspend affected services when resource use materially exceeds normal Platform operation.
• Attempts to evade bandwidth restrictions, usage limits, or fair-use controls violate these Terms.

9. Billing, Cancellations, Disputes, and Chargebacks

Recurring subscription, licensing, hosting, and capacity fees are billed according to the plan selected by the account holder. The account holder is responsible for maintaining valid billing information and for charges associated with active accounts and deployments.

Unless otherwise stated at purchase or required by applicable law, cancellations take effect at the end of the current billing period and fees already paid or incurred are non-refundable.

Users are encouraged to contact AI-gency Support regarding a billing concern before initiating a payment dispute or chargeback so the matter can be investigated and resolved. Nothing in this section waives any non-waivable right provided by applicable law. Fraudulent, abusive, or knowingly false payment disputes may result in account suspension or termination after review.

10. Account Suspension and Termination

AI-gency may suspend or terminate access for material or repeated violations of these Terms, unauthorized distribution, licensing circumvention, abusive resource use, security threats, nonpayment, or fraudulent payment disputes. Where practical and appropriate, AI-gency may provide notice and an opportunity to correct the violation before termination.

Upon termination, all licenses granted under this Agreement immediately end. Termination does not transfer ownership or eliminate payment obligations incurred before the termination date.

11. No Transfer of Ownership

Payment of subscription, license, hosting, White Label, Reseller, deployment, or Expansion Subscription fees grants only the applicable right to access and use the Platform. No payment transfers ownership of software, source code, architecture, branding, or other intellectual property.

12. Platform and Pricing Modifications

AI-gency may modify, improve, replace, suspend, or discontinue Platform features, applications, providers, pricing structures, or licensing models. When a change materially affects recurring charges or an active paid service, AI-gency will provide prior notice when reasonably practicable.

AI services and models change frequently. A particular provider, model, tool, feature, or output format is not guaranteed to remain available permanently.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. AI-gency does not warrant that the Platform will be uninterrupted, error-free, completely secure, or suitable for every purpose.

Users assume responsibility for their use of the Platform, their business decisions, their End-Users, and all AI-generated or user-created content.

14. Limitation of Liability

To the maximum extent permitted by applicable law, AI-gency will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use the Platform, reliance on AI-generated content, loss of data, business interruption, lost revenue, or the conduct of an Admin, End-User, reseller, provider, or other third party.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Changes to These Terms

These Terms may be updated to reflect Platform changes, pricing changes, provider requirements, business operations, or applicable laws. The updated version will display a revised “Last Updated” date. Continued use of the Platform after updated Terms take effect constitutes acceptance of the revised Terms.

16. Contact and Support

Questions regarding these Terms, billing, licensing, or Platform operation should be submitted through the AI-gency support channel made available within YourWorkspace.Site. End-Users of a White Label implementation must contact the Admin or support channel responsible for that implementation.
